NumeriX Analytics Trial Agreement

I am interested in your offer of a free 30-day limited trial to evaluate NumeriX for Excel - Bloomberg Edition (“NumeriX Analytics”) and understand that, as a condition of my and my organization’s ability to take advantage of such limited trial, I, on behalf of myself and my organization, must agree to these terms and conditions (this “Agreement”). I UNDERSTAND THAT THIS FREE TRIAL WILL BE DEACTIVATED AFTER 30 DAYS AND THAT MY BLOOMBERG TERMINAL WILL NOT BE ELIGIBLE FOR ANOTHER FREE TRIAL FOR AT LEAST 90 DAYS. My organization is a subscriber to services provided by Bloomberg L.P. (“Bloomberg”) and has entered into a Bloomberg subscription agreement (the “Bloomberg Agreement”). I understand that NumeriX LLC (“NumeriX”) is a third-party beneficiary of Bloomberg’s rights, and of my organization’s obligations, under the Bloomberg Agreement including, but not limited to, warranties, limitations of liabilities and restrictions on use, and that, for purposes of this NumeriX Analytics Trial Agreement, the NumeriX Analytics shall be considered as “Services” under the Bloomberg Agreement. All relevant terms and conditions of the Bloomberg Agreement apply to my organization’s use of NumeriX Analytics. These terms include, without limitation, the fact that NumeriX provides this product “AS IS,” without any warranty. My organization recognizes that NumeriX is not a data or information provider and is not responsible for the provision or quality of any data or information. I understand that “Valuation” shall mean a mathematically derived approximation of estimated value and not the transaction price at which an investment can be purchased or sold in the market, because no Valuation can correspond to or approximate the actual market price which could be obtained on any given day for any particular security. Valuations are based upon certain market assumptions and valuation methodologies reflected in proprietary algorithms and may not conform to trading prices or information available from third parties. In the event that I obtain Valuations through the NumeriX Analytics, I acknowledge that there may be errors or defects in the NumeriX Analytics’ software, database or methodology that cause resultant Valuations to be inappropriate for use. I agree that I assume all responsibility for edit checking, external verification of Valuations and, ultimately, the appropriateness of use of Valuations and other data provided via my use of the NumeriX Analytics. I further acknowledge that my organization holds NumeriX completely harmless in the event that errors, defects or inappropriate Valuations are made available via the NumeriX Analytics. I acknowledge that use of the trial of the NumeriX Analytics is personal to me and I agree that I will not permit any other Bloomberg user to access the NumeriX Analytics. By accepting this free trial, I assume all risks of the use of the NumeriX Analytics, including any trading losses I may incur, and represent that I have authority to agree to this Agreement on behalf of my organization. After I hit “I Accept,” I will provide the following REQUIRED INFORMATION via the Bloomberg e-mail system: Code, Name, Title, Company, Tel. #, Bloomberg E-mail, Regular E-mail, Bloomberg S/N (hit the red CANCEL key and look at the bottom left of the screen). Upon receipt of that fully completed e-mail, please activate NumeriX Analytics on my Bloomberg terminal and contact me to arrange training.
